Terms & Conditions
These terms govern use of the services provided by Gangadin & Company Legal Services. Please read them before engaging our administrative document support programmes.
1. Definitions
Throughout this Agreement, the following terms carry the meanings set out below:
- "Company," "We," "Us," or "Our" refers to Gangadin & Company Legal Services, located at 635 The Queensway, Toronto, ON M8Y 1K6.
- "Service" means any administrative document support programme offered by the Company, including the Small-Business Document Template Library, Records Digitization and Retention Setup, and Front-Desk Intake Training Program.
- "Client" or "User" refers to any individual, sole proprietor, partnership, or incorporated entity that engages a Service.
- "Agreement" means these Terms & Conditions together with any written scope of work or service confirmation provided at time of engagement.
- "Content" means templates, written guides, training materials, operating notes, and other documents produced under a Service.
- "Deliverable" means the specific output described in the scope of the relevant Service.
2. Acceptance of Terms
By requesting a Service, paying a deposit or fee, or signing a written engagement letter, the Client confirms that they have read, understood, and agree to be bound by this Agreement. Engagement of a Service constitutes acceptance of these terms.
- The Client must be at least 18 years of age and have legal capacity to enter a binding agreement in the Province of Ontario.
- Organizations engaging Services on behalf of a business warrant that the individual acting has authority to bind that organization.
- If you do not agree with any part of these Terms, please do not engage our Services.
3. Service Description
The Company provides administrative document support services to small businesses and professional offices. All Services are operational and organizational in nature and do not constitute the practice of law, legal advice, accounting, regulated financial planning, or any other activity requiring a professional licence.
The three core Services are:
- Small-Business Document Template Library (CAD 190): A library of editable administrative templates with a 30-minute orientation call and one revision round. Delivered within one calendar week of engagement.
- Records Digitization and Retention Setup (CAD 610): A structured project covering scanning standards, folder architecture, file naming, indexing, access permissions, retention scheduling, and a written operating note. Suitable for offices holding up to 200 linear feet of paper. Delivered over five weeks.
- Front-Desk Intake Training Program (CAD 880): An eight-week training programme including three workshops, a scripted phrase bank, an observation session with written feedback, a supervisor dashboard template, and a refresher session at the three-month mark.
Services are available to clients located in Canada. Remote delivery is available where specified; on-site elements are conducted in the Greater Toronto Area unless otherwise agreed in writing.
4. User Responsibilities
Clients agree to the following when engaging a Service:
- Provide accurate information about their organization, staff count, and operational context at the time of engagement.
- Make premises and relevant staff available for on-site sessions where included in the scope of the Service.
- Designate a point of contact within their organization who is authorized to make scheduling decisions.
- Review and respond to draft deliverables within the timelines communicated during the project.
- Use Content produced under a Service for their own organization's internal operational purposes only, and not redistribute, resell, or sublicense it to third parties.
- Refrain from requesting guidance on specific legal matters, tax positions, regulated financial products, or any subject outside the stated administrative scope of the relevant Service.
5. Intellectual Property
The Company retains ownership of all templates, frameworks, training structures, and methodology developed prior to or independently of any Client engagement. Upon full payment of fees, the Client receives a non-exclusive, non-transferable licence to use and adapt Deliverables within their own organization.
- The licence does not permit resale, redistribution, sublicensing, or use by affiliated organizations without prior written consent.
- Client-supplied documents, data, and records remain the property of the Client at all times.
- The Company will not use Client-supplied material for purposes outside the scope of the engaged Service.
6. Payment Terms
All fees are quoted and invoiced in Canadian Dollars (CAD) and are subject to applicable taxes under Ontario and federal law, including HST where applicable.
- Payment schedule: A 50% deposit is required to confirm an engagement. The remaining balance is due upon delivery of the final Deliverable or, for multi-week programmes, according to the milestone schedule agreed at engagement.
- Accepted payment methods: Electronic funds transfer (EFT), cheque payable to Gangadin & Company Legal Services, or such other methods as may be communicated in writing at time of engagement.
- Late payment: Invoices not settled within 14 calendar days of the due date may attract interest at 1.5% per month on the outstanding balance.
- Scope changes: Work outside the agreed scope will be quoted separately and requires written approval before commencement.
Cancellation and refunds:
- Cancellations made more than 5 business days before the first scheduled session or delivery date will receive a full refund of the deposit.
- Cancellations within 5 business days of the commencement date will forfeit the deposit.
- Partial refunds may be considered at the Company's discretion where a Service has been partially delivered.
7. Service Delivery Terms
Timelines stated for each Service assume that the Client meets their responsibilities as described in Section 4. The Company will make reasonable efforts to adhere to agreed timelines; however, delays caused by the Client's unavailability, late feedback, or changes in scope may extend delivery dates accordingly.
- Where a Service includes an on-site element, the Company will coordinate a schedule with the Client's designated contact. At least two business days' notice is requested for any rescheduling.
- The Template Library includes one revision round. Additional revisions beyond the stated scope will be quoted separately.
- The Intake Training Program's three-month refresher session will be scheduled by mutual agreement following programme completion.
- Deliverables are provided in standard editable formats (e.g., Microsoft Word, Excel, or PDF) unless otherwise agreed.
8. Disclaimers
Services are provided on an "as is" basis for general administrative and organizational purposes. The Company makes no representation that any Deliverable is suitable for a specific legal matter, regulatory requirement, or proceeding.
- Nothing in any Deliverable or communication from the Company constitutes legal advice, legal representation, or a solicitor-client relationship.
- Clients with specific legal questions, disputes, or regulatory obligations are directed to a qualified lawyer licensed in their jurisdiction.
- The Company does not warrant that templates or training materials will comply with requirements unique to the Client's industry or circumstances, as those requirements vary and may change.
- Third-party software, scanning equipment, or platforms referenced in a Deliverable are the Client's responsibility to obtain and maintain.
9. Limitation of Liability
To the maximum extent permitted under Ontario and Canadian law, the Company's total liability to the Client in connection with any Service shall not exceed the fees actually paid for that specific Service.
- The Company is not liable for indirect, incidental, consequential, or punitive damages arising from use of, or inability to use, any Deliverable.
- The Company is not responsible for outcomes arising from the Client's implementation or adaptation of Deliverables beyond the agreed scope.
- Force majeure events — including natural disasters, government orders, labour disruptions, or technology failures outside the Company's control — will suspend the Company's obligations for the duration of the event without constituting a breach.
10. Indemnification
The Client agrees to indemnify, defend, and hold harmless Gangadin & Company Legal Services and its principals, employees, and contractors from and against any claims, losses, costs, or expenses (including reasonable legal fees) arising from:
- The Client's misuse of a Deliverable outside its intended administrative scope;
- The Client's breach of any provision of this Agreement;
- Inaccurate or incomplete information provided to the Company during the engagement;
- Third-party claims arising from the Client's implementation of Content produced under a Service.
11. Termination
Either party may terminate an engagement with written notice if the other party commits a material breach and fails to remedy it within 10 business days of receiving written notice of that breach.
- Upon termination by the Client without cause, fees are payable for all work completed to the date of termination.
- Upon termination by the Company for cause, the Company will return any fees attributable to work not yet commenced.
- Sections relating to intellectual property, payment of outstanding fees, limitation of liability, and dispute resolution survive termination of this Agreement.
12. Dispute Resolution
This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada. The parties agree that the courts of Ontario shall have exclusive jurisdiction over any dispute arising from this Agreement.
- Informal resolution: Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct written communication within 20 business days.
- Mediation: If informal resolution fails, the parties may agree to submit the dispute to a mediator through a recognized Canadian mediation service before pursuing litigation.
- Consumer protection rights under the Ontario Consumer Protection Act, 2002 and related legislation are not affected by this clause.
13. General Provisions
- Entire Agreement: This Agreement, together with any written scope of work or service confirmation, constitutes the complete understanding between the parties and supersedes all prior discussions or representations.
- Severability: If any provision of this Agreement is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision on one occasion does not waive the right to enforce it on any subsequent occasion.
- Assignment: The Client may not assign rights or obligations under this Agreement without prior written consent of the Company. The Company may engage subcontractors to assist with delivery while remaining responsible for the quality of the Deliverable.
- Notices: All formal notices under this Agreement should be sent in writing to the addresses set out in Section 15 or via email with confirmed receipt.
14. Changes to These Terms
The Company may update these Terms from time to time. Where changes are material, notice will be posted on the Company's website and, where practicable, communicated directly to active Clients. Continued engagement of Services following the effective date of updated Terms constitutes acceptance of those changes.
